Position Summary

Karandaaz is seeking a seasoned Deputy Company Secretary who will be responsible for assisting the Company Secretary (CS) in management of Board and ensuring regulatory compliances.

Job Responsibilities

The incumbent will provide support to the CS in a variety of secretarial and regulatory affairs including the following:

General Body, Board and Committee Meetings (35%)

  • Support CS in convening of all General Body, Board and Board Committee meetings, and handling all related aspects, including scheduling of meetings, drafting and obtaining approval for agendas, collating and distributing working papers and presentations to ensure efficient meeting management.
  • Draft minutes of the meetings and maintaining accurate record of the follow-up action trackers as well as monitoring compliance of the action items.

Secretarial Filings and Record Keeping (30%)

  • Assist the CS in preparing and statutory filing necessary documents and forms with the Companies Registrar and the Securities and Exchange Commission of Pakistan (SECP)
  • Maintain key corporate documents and records including statutory registers, general body and board approvals, meeting trackers, attendance sheets and Board members information.
  • Ensure proper custody and safekeeping of important record, as advised by CS.

Compliance Management (35%)

  • Ensure compliance with the applicable provisions of the Companies Law and associated rules and regulations as well as the bye-laws (Articles and Memorandum of Association and License) of the company
  • Ensure compliance with best Corporate Governance Practices; Economic Affairs Divisions (EAD), PCP and other regulatory authorities.
  • Monitor changes in legal and regulatory frameworks and policies requirements and ensure timely update to CS office and management.
  • Assist the CS in annual board annual self-evaluation process
  • Assist the CS on nominations committee agendas, board members’ skill gap analysis and identification of possible candidates for filling casual vacancies
  • Draft appropriate briefing material to the donors and other stakeholders
  • Prepare Monthly, Quarterly and Annual reporting on all governance related matters.
  • Any other task as may be required by the CS to effectively provide governance support to the company.

Eligibility

Education & Experience

  • Minimum Bachelor’s degree in Law/Business/Management or related fields from a reputable international or Pakistani institution. LLB/LLM will be preferred.
  • Certification and experience related to Company Secretary, Corporate Governance or Board certification training would be a plus.
  • Minimum 6 years of relevant work experience
  • Prior experience of being a Company Secretary or working with the Company Secretariat would be highly preferred.
  • Prior experience of working in a Section 42 company will also be an added advantage.
